Article 2 - Purpose and Scope
These General Terms and Conditions of Sale define the conditions under which CEWeb Agency provides its services to its professional clients.
They apply exclusively to natural or legal persons acting for purposes that fall within the scope of their professional, commercial, craft, liberal-profession or non-profit activity.
CEWeb Agency does not sell its services to consumers acting for purposes that fall outside the scope of their professional activity.
The services offered include, in particular:
- the creation, redesign and optimization of websites;
- the development of custom software, web applications, platforms and digital solutions;
- consulting, auditing and support in digital strategy;
- search engine optimization and digital visibility services;
- the maintenance, support and evolution of websites or applications;
- the hosting and managed services of digital solutions;
- training or support services related to the services offered.
The precise content of each service is defined in the quote, purchase order, contract or any commercial proposal accepted by the Client.
Any order implies full and complete acceptance of these Terms.
In the event of a conflict between these Terms and the specific conditions set out in a quote, purchase order or signed contract, the specific conditions shall prevail.
Article 3 - Quotes, Deposit and Formation of the Contract
Unless otherwise stated, quotes issued by CEWeb Agency are free of charge and non-binding until accepted by the Client.
The validity period of a quote is the period stated therein.
The order becomes final upon the Client’s acceptance of the quote or purchase order, by handwritten or electronic signature, or by any other means that unambiguously establishes the Client’s agreement.
3.1 Deposit upon Order
For certain services requiring the allocation of resources or the reservation of production time, CEWeb Agency may make the start of the service conditional upon the prior payment of a deposit.
Services sold under the Spotlight offer, as well as certain Hand-Made services, are in particular subject to a deposit of at least 40% of the total amount of the service, unless otherwise expressly provided in the quote.
The exact amount of the deposit and the applicable payment terms are specified in the quote or purchase order.
The deposit is deducted from the total remaining amount due for the service.
The start of work may be subject to:
- acceptance of the quote or purchase order;
- receipt of the information and materials necessary to perform the service;
- and actual receipt of the agreed deposit.
Where these conditions are not met, CEWeb Agency is not required to start the service or to maintain the initially envisaged timelines.
3.2 Commitment of the Parties
Payment of the deposit constitutes a firm commitment of the parties.
In the event of cancellation of the order at the Client’s initiative after its acceptance, the sums corresponding to services already performed and to costs incurred by CEWeb Agency remain due.
The deposit paid may be retained by CEWeb Agency to the extent necessary to compensate for the services performed, the time reserved and the costs actually incurred, subject to any mandatory legal provisions applicable to the Client.
Where the amount of services already performed or costs incurred exceeds the deposit paid, CEWeb Agency may invoice the corresponding balance.
Where the cancellation is attributable to CEWeb Agency without legitimate reason and before any commencement of performance, the deposit paid is refunded to the Client.
3.3 Specific Conditions
Specific terms of invoicing, staged payment or payment of additional deposits may be defined in the quote or contract.
In the event of a conflict between this article and the specific conditions expressly provided for in a quote accepted by the Client, the specific conditions of the quote shall prevail.
Article 4 - Prices
Prices are expressed in euros, excluding taxes, unless otherwise stated.
VAT is applied at the legal rate in force on the invoice date.
Given the customized nature of most of CEWeb Agency’s services, their price is mainly determined by means of a detailed quote established based on, in particular, the functional scope, technical complexity, estimated time, resources allocated and any necessary services or licenses.
For offers with a public price, the applicable price is the one indicated on the quote, purchase order or offer accepted by the Client at the time of the order.
Unless otherwise specifically agreed, no price reduction or discount is granted to the Client.
No discount is granted for early payment.
Costs related to third-party services, licenses, plugins, subscriptions, domain names, cloud services or external services are included only when expressly mentioned in the quote.
Article 5 - Payment Terms
The applicable payment terms and due dates are specified in the quote or contract.
Unless otherwise specifically provided, invoices issued by CEWeb Agency are payable within 30 days of their issue date.
Deposits requested at the start of a project are payable upon receipt of the corresponding invoice.
Payment may be made, in particular, by bank transfer or by any other means of payment offered by CEWeb Agency.
CEWeb Agency may suspend the performance of its services in the event of an invoice that has fallen due and remains unpaid, after informing the Client.
Late payment by professional clients
Any late payment automatically, and without prior reminder, gives rise to the application of penalties calculated on the basis of the interest rate applied by the European Central Bank to its most recent refinancing operation, plus ten percentage points, in accordance with the provisions of the French Commercial Code (Code de commerce).
Any professional in a situation of late payment is also automatically liable for a fixed indemnity of 40 euros for recovery costs per unpaid invoice.
Where the recovery costs actually incurred exceed this amount, CEWeb Agency may claim additional compensation upon presentation of supporting evidence.
Article 6 - Performance of the Services
CEWeb Agency undertakes to perform the services in accordance with the scope defined in the quote and in accordance with the professional standards applicable to its activity.
Any timelines indicated are established based on, in particular, the scope of the project and the information available at the time of the order.
Compliance with the schedule requires, in particular, that the Client provide, within the agreed timeframes, the information, content, access, approvals and materials necessary to perform the service.
Any delay attributable to the Client, in particular due to a failure to provide information or approvals, automatically results in a corresponding shift in the schedule.
Where the service depends on a third party’s service or infrastructure, CEWeb Agency cannot guarantee timelines that depend exclusively on that third party.
Article 7 - Client’s Obligations
The Client undertakes to cooperate with CEWeb Agency and to provide the information and access necessary for the proper performance of the service.
The Client warrants that it holds the necessary rights to the materials it provides to CEWeb Agency, in particular texts, images, videos, logos, trademarks, databases and other content.
The Client remains responsible for:
- the lawfulness of the content it publishes;
- the information and documents it provides;
- the use it makes of the tools delivered;
- compliance with the regulations specific to its activity.
CEWeb Agency cannot be held liable for any consequence resulting from content or an instruction provided by the Client in breach of regulations or of the rights of a third party.
Article 8 - Change of Scope
Any request that does not fall within the initially accepted scope may give rise to additional invoicing, an amendment or a new quote.
CEWeb Agency informs the Client when the request made constitutes a significant change to the initial scope.
The Client remains free to accept or refuse such additional service.
Article 9 - Delivery and Approval
Delivery may, in particular, take the form of:
- a go-live;
- the handover of a website, application or software;
- the transfer of a source code repository;
- the handover of a document, audit or deliverable;
- the opening of access to a solution or an IT environment.
The Client is invited to check the deliverables and to report any anomalies found to CEWeb Agency.
Corrections corresponding to non-compliance with the contractually defined scope are borne by CEWeb Agency.
Any new feature, change in requirements or evolution requested after approval of the scope may give rise to additional invoicing.
Article 10 - Intellectual Property
10.1 Elements Created Specifically for the Client
Subject to full payment of the sums due for the project, CEWeb Agency assigns to the Client the economic rights (droits patrimoniaux) attached to the works created specifically for the Client as part of the service, where such rights belong to CEWeb Agency.
For the elements concerned, this assignment includes:
- the right of reproduction;
- the right of representation;
- the right of use and exploitation;
- the right of adaptation;
- the right of modification;
- the right of integration;
- the right of translation;
- the right of distribution.
This assignment is granted for the Client’s professional and commercial purposes, on all media and by all processes known or yet to be known, worldwide and for the entire legal term of protection of the rights concerned.
The remuneration corresponding to this assignment is included in the price of the service, unless otherwise provided in the quote.
The assignment becomes effective after full payment for the project.
10.2 Software and Source Code
Where custom development is carried out for the Client, the rights to the code developed specifically for the Client are transferred under the conditions set out in this article.
The Client may, in particular, use, run, reproduce, modify, adapt or further develop the code thus delivered.
10.3 Pre-existing Elements and Third-Party Components
The assignment does not cover:
- tools, methods, components or know-how previously developed by CEWeb Agency;
- open-source frameworks and libraries;
- plugins, themes, software or services published by third parties;
- fonts, photographs, graphic resources or content subject to a specific license;
- SaaS services, APIs or infrastructure operated by third parties.
These elements remain subject to their respective licenses and terms of use.
Article 11 - Subscriptions, Maintenance and Support
Recurring services offered by CEWeb Agency, in particular maintenance and support services and associated services, are subscribed with an initial commitment of twelve (12) months, unless otherwise expressly provided in the quote or contract.
11.1 Term and Renewal
At the end of the initial twelve (12) month period, the subscription is automatically renewed for a further period of twelve (12) months, unless the Client sends CEWeb Agency a request for non-renewal before the contract anniversary date, with 30 days’ notice.
The request for non-renewal must be made in writing, in particular by email, so that proof of it can be kept.
Termination or the request for non-renewal takes effect at the end of the current commitment period. It does not give rise to any refund of the sums corresponding to the period already committed.
Where the Client benefits from specific legal provisions relating to tacit renewal, in particular where it has the status of a consumer, CEWeb Agency applies the information and termination obligations provided for by the regulations in force.
11.2 Payment Terms
CEWeb Agency favors annual invoicing, payable for the entire subscription period concerned.
This arrangement simplifies the administrative management and payment of recurring services, as CEWeb Agency does not currently offer a direct debit system or recurring card payments.
Where this option is provided for in the quote or contract, the Client may nevertheless benefit from monthly payment.
Monthly payment constitutes solely a payment facility. It changes neither the term of the contract nor the twelve (12) month commitment period, and does not constitute a monthly subscription without commitment.
Consequently, where the Client benefits from monthly payment, it remains committed until the end of the current annual period and remains liable for the installments due during that period, subject to applicable mandatory legal provisions.
Payments are made using the means of payment offered by CEWeb Agency, in particular by bank transfer.
11.3 Content of the Services
The exact scope of the services included in the subscription is defined in the offer, quote or contract accepted by the Client.
In the context of maintenance services, these may, depending on the offer subscribed, include in particular:
- technical updates;
- preventive and corrective maintenance;
- monitoring and security of the website or application;
- resolution of anomalies;
- technical support;
- backups, where provided for in the offer;
- certain interventions or content changes.
Services constituting a new feature, a major evolution, a redesign or a development falling outside the scope of the subscription may give rise to a quote or additional invoicing.
11.4 Changes to Subscriptions
Any change of plan or of the scope of the subscription may give rise to a new quote or an amendment.
CEWeb Agency informs the Client of any price change applicable at a forthcoming renewal period before it takes effect. The Client then retains the option of requesting the non-renewal of its subscription under the conditions set out in this article.
Article 12 - Hosting
CEWeb Agency offers hosting and managed services based, in particular, on the infrastructure of its technical partner Hostinger.
Depending on the offer subscribed, these services may include, in particular:
- administration of the hosting environment;
- the SSL certificate;
- the CDN;
- backups;
- monitoring;
- management of the technical environment;
- provision of a staging environment.
Where the offer provides for daily backups retained for 30 days, this period constitutes the maximum retention period provided for by the offer concerned.
CEWeb Agency implements the reasonable means necessary to ensure the availability and security of the services, without being able to guarantee the absolute and permanent availability of an infrastructure that depends in part on third-party suppliers.
Unless a specific service-level commitment is provided for in the contract, the availability or performance values presented on the website constitute service objectives and not an absolute guarantee.
CEWeb Agency cannot be held liable for any interruption directly attributable to a hosting provider, network operator, DNS provider, cloud service or any other third-party provider, except in the case of fault directly attributable to CEWeb Agency.
Article 13 - Liability
CEWeb Agency is bound by a best-efforts obligation (obligation de moyens) in the performance of its services, unless otherwise expressly provided in the contract.
In particular, CEWeb Agency does not guarantee any specific level of traffic, revenue, search engine ranking, commercial conversion or economic result, unless expressly agreed in the contract.
CEWeb Agency cannot be held liable for damages resulting from:
- misuse of the services by the Client;
- a modification made by the Client or a third party after delivery;
- content or material provided by the Client;
- a failure of a third-party service;
- a cyberattack or external event that could not reasonably be avoided despite the security measures implemented.
For professional Clients, and except in cases of gross negligence (faute lourde), intentional misconduct or contrary mandatory legal provision, CEWeb Agency may only be held liable for direct and foreseeable damages resulting from a breach directly attributable to it.
Article 14 - Personal Data
Each party undertakes to comply with the applicable regulations on personal data protection, in particular the General Data Protection Regulation (GDPR).
Where CEWeb Agency processes personal data on behalf of the Client as part of a service, CEWeb Agency acts as a processor within the meaning of the GDPR.
Where necessary, the parties enter into, or incorporate into their contractual relationship, the provisions set out in Article 28 of the GDPR, specifying in particular the subject matter and duration of the processing, its nature, the categories of data concerned, the applicable security measures and any sub-processors.
Processing carried out by CEWeb Agency on its own behalf is described in its privacy policy.
Article 15 - Confidentiality
Each party undertakes to keep confidential any non-public information of which it becomes aware in the course of performing the service.
This obligation does not apply to information:
- that is already public;
- lawfully obtained from a third party;
- the disclosure of which is required by a legal provision or a competent authority.
Article 16 - Termination
In the event of a serious breach by one of the parties of its contractual obligations, the other party may request termination of the contract after a formal notice (mise en demeure) has remained without effect within a reasonable period.
Services actually performed up to the termination date, as well as costs or commitments already incurred for the project, remain due.
The specific termination conditions for recurring services, in particular maintenance or hosting contracts, are those defined in the quote or purchase order.
Article 17 - Force Majeure
Neither party may be held liable for a failure resulting from an event of force majeure within the meaning of Article 1218 of the French Civil Code (Code civil) and French case law.
Performance of the affected obligations is suspended for the duration of the force majeure event.
Where the impediment becomes permanent or makes the reasonable continuation of the contract impossible, either party may terminate it in accordance with the applicable rules.
Article 18 - Governing Law and Jurisdiction
These Terms and the contracts entered into with CEWeb Agency are governed by French law.
In the event of a dispute relating to the formation, validity, interpretation, performance or termination of a contract, the parties undertake to first seek an amicable solution.
Failing an amicable agreement, and where the Client has the status of a merchant (commerçant), express jurisdiction is conferred on the competent courts of Paris, including in the event of multiple defendants, third-party warranty claims or emergency proceedings, unless otherwise provided by a mandatory legal provision.
Article 19 - Limitation of Liability
19.1 Principle
CEWeb Agency is liable for direct, certain and foreseeable damages resulting from a contractual breach directly attributable to it.
19.2 Liability Cap
Subject to applicable mandatory legal provisions, CEWeb Agency’s total aggregate liability, for all causes and all triggering events combined, is limited to the amounts, excluding taxes, actually received by CEWeb Agency for the service directly giving rise to the damage.
For a one-off service, in particular a Spotlight, Hand-Made, consulting, audit or custom development service, the cap corresponds to the sums, excluding taxes, actually received for the service concerned.
For a recurring service or subscription, in particular maintenance, support or hosting services, the cap corresponds to the sums, excluding taxes, actually received by CEWeb Agency for the service concerned during the twelve (12) months preceding the event giving rise to the damage.
Where the contract has been in performance for less than twelve months, the cap corresponds to the sums actually received since the start of the service.
This cap applies globally to all claims arising from the same triggering event or the same series of related events.
19.3 Exceptions
The limitations set out in this article do not apply where their application is prohibited by a mandatory legal provision.
In particular, they may not have the effect of limiting or excluding CEWeb Agency’s liability in the event of gross negligence or willful misconduct (faute lourde ou dolosive), personal injury directly attributable to CEWeb Agency, or where such a limitation would have the effect of depriving an essential obligation of CEWeb Agency of its substance.
Article 20 - Delivery, Acceptance Testing and Approval of Services
20.1 Provision
Where a service involves the creation of a website, application, development, feature or any other deliverable requiring the Client’s approval, CEWeb Agency informs the Client that it is available for acceptance testing.
Acceptance testing may be carried out on a staging environment, a testing environment or directly on the production environment, depending on the nature of the project.
20.2 Acceptance Testing Period
From the notification that the deliverable is available, the Client has a period of fifteen (15) calendar days to check it and to inform CEWeb Agency, in writing, of any anomalies found.
Anomalies must be sufficiently precise and reproducible to allow their analysis and correction.
Only anomalies constituting non-compliance with the features, specifications or services expressly provided for in the quote, the specifications document or the contractual exchanges are handled as part of acceptance testing.
A request corresponding to a new feature, a change in requirements or a modification of the initial scope does not constitute an anomaly and may give rise to additional invoicing.
20.3 Tacit Approval
In the absence of a written and sufficiently precise reservation communicated within the fifteen (15) calendar day period, the deliverable is deemed accepted and approved without reservation by the Client.
Final go-live at the Client’s request, actual use of the deliverable in the course of its business, or the Client’s express approval may also constitute acceptance, subject to any written reservations made at the same time.
Minor anomalies that do not prevent normal use of the deliverable do not prevent its approval and may be corrected subsequently by CEWeb Agency.
20.4 Correction of Anomalies
Where anomalies falling within the contractual scope are reported during the acceptance testing period, CEWeb Agency corrects them within a reasonable period, taking into account their nature and severity.
Once the corrections have been made available, the Client has a new period of eight (8) calendar days to check the corrected elements only.
In the absence of any new reservation within this period, the corrections and the deliverable are deemed approved.
20.5 Consequences of Acceptance
Express or tacit approval of the deliverable constitutes its acceptance by the Client and allows the issuance, where provided for, of the invoice for the balance of the service.
Where intellectual property rights or source code are to be transferred to the Client, their final transfer takes place in accordance with these Terms and subject to full payment of the sums due to CEWeb Agency.
Article 21 - End of Hosting and Reversibility
21.1 Domain Name
Where a domain name is registered by CEWeb Agency on behalf of the Client, it is intended to be registered, whenever technically possible, in the name of the Client or its organization.
The Client remains the registrant of its domain name. CEWeb Agency may act as administrative or technical contact and manage it for the duration of the service.
At the end of the contractual relationship, CEWeb Agency provides the Client, or the new provider designated by the Client, with the information necessary to transfer the domain name, in particular the authorization code or transfer code where such a mechanism exists.
CEWeb Agency claims no ownership rights over a domain name registered on behalf of the Client.
21.2 Return of Data
Upon termination of a hosting service, for whatever reason, the Client may request the return of the hosted data and materials that it owns.
Depending on the nature of the service concerned, the standard return may include, in particular, the website or application files, media files and a database export.
CEWeb Agency makes these elements available in a technically usable format within a maximum period of thirty (30) days following the actual end of the service, or following the request for return where it is made before that date.
The standard return of existing files and data does not include migration, configuration, installation or adaptation of the solution with a new hosting provider. At the Client’s request, these services may be the subject of an additional quote.
21.3 Third-Party Licenses and Services
Licenses, subscriptions, plugins, software or services subscribed directly in the Client’s name remain attached to the Client.
Licenses or subscriptions belonging to CEWeb Agency, in particular where they are shared among several clients, are not transferred to the Client upon termination of the contract.
Where necessary, CEWeb Agency informs the Client of the licenses or services it will need to subscribe to directly in order to retain certain features after the end of the service.
21.4 Retention after the End of the Contract
It is the Client’s responsibility to arrange for the recovery and migration of its data before the service is permanently shut down.
At the end of the reversibility period, CEWeb Agency may delete any data still present on its systems or those of its providers.
Any copies contained in backup systems are gradually deleted in accordance with normal backup rotation cycles, unless a legal obligation requires longer retention.
CEWeb Agency does not guarantee the possibility of restoring data after the reversibility period has expired.
Article 22 - Suspension of Services in the Event of Non-Payment
In the event of non-payment of an invoice that has fallen due, CEWeb Agency may suspend all or part of the recurring services concerned, in particular hosting, maintenance, support or managed services.
Except in situations requiring immediate action for security reasons or specific contractual provisions, suspension may only take place after the Client has been sent a formal notice to pay that has remained without effect for a period of eight (8) calendar days.
CEWeb Agency informs the Client of the suspension of the service.
Suspension may, in particular, result in the temporary unavailability of the website, application, hosting, support or associated services affected by the non-payment.
Suspension of the service does not constitute termination of the contract and does not release the Client from paying the invoices, subscriptions and installments contractually due.
The service may be restored after full settlement of the sums due. CEWeb Agency then restores it within a reasonable period, taking into account any technical operations required.
Subject to mandatory legal provisions, CEWeb Agency cannot be held liable for the consequences directly resulting from a suspension duly implemented due to the Client’s non-payment.
Suspension of hosting does not affect the Client’s status as registrant of its domain name, nor its rights over the elements it owns.
Article 23 - Commercial References
Unless the Client objects in writing, the Client authorizes CEWeb Agency to mention the existence of their collaboration as a commercial reference.
For this purpose, CEWeb Agency may reproduce and use the Client’s trade name, company name and logo, and present in general terms the nature of the service performed, screenshots of elements made public and the public address of the project concerned.
This use is limited to CEWeb Agency’s communication and promotional needs, in particular on its websites, portfolio, social networks, sales presentations, commercial proposals and corporate materials.
This authorization is granted free of charge, worldwide, for the duration of the business relationship and for a period of five (5) years after its end.
CEWeb Agency undertakes not to disclose, in this context, any confidential information, non-public data or information likely to harm the Client’s legitimate interests.
For websites created or maintained by CEWeb Agency, CEWeb Agency may also display a discreet mention such as “Made by CEWeb Agency”, together with a link to its website.
The Client may refuse this mention when placing the order or subsequently request its removal in writing. CEWeb Agency then removes it within a reasonable period and no later than fifteen (15) days following the request, provided that CEWeb Agency still has the necessary access.
Article 24 - Subcontracting and Use of External Providers
CEWeb Agency is authorized to entrust all or part of the operations necessary for the performance of its services to third parties.
In particular, CEWeb Agency may use freelancers, consultants, developers, designers, technical experts, partner agencies or other specialized providers where their involvement is useful for carrying out the project.
The use of a subcontractor does not create any direct contractual relationship between the subcontractor and the Client.
CEWeb Agency remains the Client’s contractual counterpart and remains liable to the Client for the proper performance of the services entrusted to it, subject to the limitations of liability set out in these Terms.
CEWeb Agency ensures that the providers to which it entrusts information relating to the Client are subject to appropriate confidentiality and security obligations.
Where the subcontractor is required to process personal data on behalf of the Client, CEWeb Agency ensures that such processing is governed in accordance with the applicable personal data protection regulations.
Where CEWeb Agency itself acts as a processor within the meaning of the GDPR, the Client grants CEWeb Agency a general authorization to engage the sub-processors necessary for the performance of the service.
In this case, CEWeb Agency ensures that it imposes appropriate data protection obligations on its sub-processors and that it uses providers offering sufficient guarantees.
Where the nature of the service so requires, the detailed terms relating to the processing of personal data may be set out in a specific data processing addendum in accordance with Article 28 of the GDPR.
Article 25 - General Provisions
25.1 Partial Invalidity
If one or more provisions of these Terms are declared null, unenforceable or deemed unwritten (réputées non écrites) pursuant to a legal or regulatory provision or a final court decision, the other provisions shall remain in full force and effect.
Where necessary, the parties shall endeavor to replace the provision concerned with a valid provision whose purpose and economic effect are as close as possible to those of the original provision.
25.2 No Waiver
The fact that CEWeb Agency or the Client does not, at a given time, invoke a provision of these Terms or a breach by the other party cannot be interpreted as a waiver of the right to invoke it subsequently.
Any waiver of a right must result from a clear and unequivocal expression of intent by the party concerned.
25.3 Amendment of the General Terms and Conditions of Sale
CEWeb Agency may amend these Terms in order, in particular, to take into account changes in its services, business practices, tools or applicable regulations.
The version applicable to a one-off service is the one accepted by the Client at the time of the order.
A subsequent amendment of the Terms has no retroactive effect on a one-off service already ordered, unless expressly agreed by the parties or required by a mandatory legal provision.
For recurring services or subscriptions, the new Terms may apply from the next renewal period.
In the event of a substantial amendment, CEWeb Agency informs the Client by any written means allowing proof to be kept, within a reasonable period before they take effect.
A Client who does not wish to accept the new terms may request the non-renewal of its subscription under the conditions set out in these Terms.
The version of the Terms in force is available on CEWeb Agency’s website.
